Payment Terms

These Payment Terms (the “Payment Terms”) govern payments you make or receive in connection with services offered on or through noiseera.com and any NoiseEra mobile applications (collectively, the “Platform”). The Platform is operated by NoiseEra (“NoiseEra,” “we,” “us,” or “our”). By making or receiving payments on the Platform, you agree to these Payment Terms, which supplement and form part of our Terms of Service.

1. Key Terms

  • Payment Services Provider(s) (“PSPs”): Independent third-party payment processors and acquiring banks NoiseEra uses to collect funds from Users (e.g., Stripe, PayPal), remit funds, and perform currency conversion.
  • Earnings: Money event promoters, organizers, or eligible creators earn from transactions on the Platform (such as ticket sales), net of NoiseEra fees, adjustments, and any applicable taxes.
  • Service Fees: Platform fees charged by NoiseEra in connection with transactions (such as ticket sales), which will be clearly shown prior to purchase.

2. Receiving Payments (Promoters, Ticket Sellers & Creators)

2.1 General

  • Not a bank or money transmitter. NoiseEra is not a bank, money transmitter, deposit-taking institution, or payment services provider. Regulated payment services are performed by PSPs. Funds held by or through PSPs in connection with the Platform are not deposits, are not insured, and do not accrue interest.
  • Taxes. Users receiving payouts are solely responsible for reporting and paying all taxes (e.g., GST/VAT/income taxes) that apply to their activities and Earnings. Where required by law, prices displayed must be tax-inclusive or otherwise labelled as required.

2.2 Payouts via PayPal

  • Current withdrawal method. At this time, we support payouts for ticket sales and eligible Earnings to PayPal accounts only. You must have a valid PayPal account to receive funds.
  • Our fees vs PSP fees. NoiseEra does not currently charge a separate withdrawal fee for sending funds to your PayPal account. However, PayPal may apply its own fees, FX spreads, limits, or receiving-bank charges depending on your location, currency, and account type. NoiseEra does not set or control PayPal’s fees or exchange rates.
  • Timing. Once a payout is initiated, actual timing is controlled by PayPal, banks, and payment networks. NoiseEra is not liable for delays attributable to third parties.
  • Irreversibility. Withdrawals and payouts are final and irreversible once initiated to the PayPal account you have nominated. You are responsible for ensuring your payout details are accurate and belong to you.
  • Compliance checks. NoiseEra and PSPs may require identity (KYC), tax, AML, and sanctions screening before or after enabling withdrawals. Failure to complete required checks may delay or block withdrawals and can result in refunds or reversals of relevant funds.

2.3 Content Monetization & Royalties (Disclaimer)

  • No Guaranteed Royalties. NoiseEra may, from time to time and at its sole discretion, offer monetization features where eligible artists can receive payouts based on streams, downloads, or other metrics. However, simply uploading content to the Platform does NOT automatically entitle you to any royalties, guaranteed payouts, or financial compensation.
  • Eligibility. Any future monetization programs will be strictly opt-in and subject to specific eligibility requirements, separate agreements, and threshold limits determined solely by NoiseEra. We reserve the right to withhold, cancel, or deny payments if we suspect artificial inflation of metrics (e.g., bots, click-farming).

3. Purchasing (Subscriptions, Tools, & Tickets)

3.1 General

  • Payment methods. Supported payment methods are shown at checkout and may include credit/debit cards, digital wallets, and PayPal. All such payments are processed by PSPs.
  • Authorization. By submitting a payment method, you represent and warrant that you are authorized to use it and that your use is lawful. You authorize NoiseEra and its PSPs to charge your selected method for the stated price, applicable fees, and taxes.
  • Invoices & receipts. You agree to receive invoices and receipts electronically (for example, via download on the Platform or by email).

3.2 Subscriptions & Cancellations

  • NoiseEra offers recurring subscriptions that are billed through third-party payment processors such as Stripe and PayPal. We do not directly process or store your payment method.
  • How to cancel: You can cancel your subscription at any time by navigating to your Billing settings, which will redirect you to Stripe or PayPal. You must log in to your Stripe or PayPal account to complete the cancellation.
  • No Refunds: Charges that occur before you cancel are final and non-refundable. We do not issue refunds for forgotten cancellations, accidental renewals, unused time, or failure to use the service during the billing period.

4. Taxes

  • NoiseEra may be required by law to charge indirect taxes (for example, GST/VAT/sales tax) on payments made by users. Charged or withheld amounts are in addition to listed prices and will, where required, be shown before you complete payment.
  • Each user is responsible for all direct and indirect taxes that apply to them as a result of their use of the Platform, based on their residency and activities.

5. Chargebacks, Holds, Set-Off & Negative Balances

  • Chargebacks. Initiating a chargeback for a valid purchase or subscription renewal may breach these Payment Terms. NoiseEra reserves the right to contest chargebacks and provide PSPs/banks with evidence (e.g., login logs, IP/device data).
  • Reserves and holds. NoiseEra may place reserves or holds on payouts to event organizers or eligible creators where there are indicators of risk (e.g., high dispute rates, sudden spikes in ticket sales, bot activity, or suspected fraudulent events).
  • Set-off. NoiseEra may set off any amounts you owe (including refunds, chargebacks, adjustments, or fees) against any pending payouts or future Earnings, and may debit any linked payment method to recover outstanding amounts.
  • Negative balances. If your account shows a negative balance (e.g., due to chargebacks on sold tickets), you must promptly restore it to a non-negative balance. We may engage collection efforts where lawful.

6. Compliance: KYC, AML, Sanctions & Export

  • You must provide accurate information and promptly furnish any documentation that NoiseEra or its PSPs reasonably request to satisfy identity (KYC), tax, anti-money-laundering (AML), counter-terrorist-financing, or sanctions screening obligations.
  • You represent that you are not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive trade sanctions, and that you are not a person or entity listed on any applicable sanctions or restricted-party list.
  • Failure to comply with such requirements may result in delayed, blocked, or reversed payments and may lead to account closure.

7. Errors, Reversals & Adjustments

  • NoiseEra and PSPs may correct processing errors, duplicate charges, or misapplied funds by making appropriate debit or credit entries to affected accounts. You authorize NoiseEra and its PSPs to make such adjustments where reasonably necessary.
  • If funds are credited to you in error, or as a result of fraud, you agree to cooperate in returning them. NoiseEra may debit your pending payouts or payment methods to recover such funds.

8. Super-Limitation of Liability (Payments)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PAYMENTS FUNCTIONALITY, CURRENCY CONVERSION, WITHDRAWALS, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY). NoiseEra, ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, MULTIPLE, PUNITIVE, OR ENHANCED DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY; COST OF SUBSTITUTE GOODS OR SERVICES; OR FAILURES OF PSPs, BANKS, PAYMENT NETWORKS, OR THIRD-PARTY PLATFORMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CAP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NoiseEra’S TOTAL AGGREGATE LIABILITY FOR ALL PAYMENT-RELATED CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE PAYMENT TERMS SHALL NOT EXCEED THE GREATER OF (I) THE FEES YOU PAID TO NoiseEra IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) USD $100 (or AUD $150).

TIME BAR. ANY PAYMENT-RELATED CLAIM MUST BE COMMENCED WITHIN SIX (6) MONTHS AFTER THE EVENT GIVING RISE TO THE CLAIM FIRST OCCURRED, OR SUCH CLAIM IS PERMANENTLY BARRED.

9. Modifications

We may update these Payment Terms and fee structures from time to time. We will post the updated version on the Platform with a new “Last update” date. Unless otherwise required by law, changes take effect when posted. Your continued use of the Platform after the updated Payment Terms take effect constitutes your acceptance of them.

10. Governing Law; Dispute Resolution

These Payment Terms are governed by the laws of New South Wales, Australia. Disputes arising out of or relating to these Payment Terms will be resolved in accordance with the dispute-resolution provisions of our Terms of Service (including any arbitration or class-action waiver provisions), and, unless otherwise required by law, any proceedings shall take place in Sydney, Australia.
